Terms of Service
Version 2026-10-16 · closed alpha. These Terms apply while SAGOT is in its closed alpha. Our lawyers are reviewing them; we will tell you about changes as section 15 describes.
These Terms of Service ("Terms") are an agreement between Brainstorm IT LLC, a Delaware limited liability company (Delaware file number 10087588), which operates SAGOT ("SAGOT", "we", "us"), and the person or organization that creates a SAGOT account or workspace ("you", "Customer"). If you accept these Terms for an organization, you confirm that you are authorized to bind it.
By creating an account, accepting an invitation or using the SAGOT website, API, MCP server, CLI or phone gateway app (together, the "Service"), you agree to these Terms, the Data Processing Addendum and our Privacy Notice. When you create an account you accept the version then current, and SAGOT records the version and time.
1. The Service
SAGOT lets you build AI voice agents, connect phone lines and have the agents make and answer phone calls, and review what happened. Each capability is available on the website, the HTTP API, the MCP server and the CLI, under the same permissions.
1.1 Closed alpha
The Service is currently a closed alpha. Access is by invitation. During the alpha:
- features may change, be limited or be removed, and the Service may be unavailable at times;
- we do not offer a service level or support commitment, although we try to help;
- usage figures and charges shown in the Service are estimates unless we have agreed fees with you in writing.
2. Your account and workspaces
- Give accurate account information and keep your password and API keys secret. You are responsible for activity under your account, your workspaces and your keys.
- Workspace owners and admins decide who can access a workspace and with which role. Grant API keys only the permissions they need, and revoke keys you no longer use.
- Tell us promptly at security@sagots.com if you suspect unauthorized access.
- You must be at least 18 years old and able to enter a binding contract.
3. Your data
3.1 You own your data
"Customer Data" means the data you or your users put into the Service or that the Service creates for you: agent instructions and knowledge, contacts and phone numbers, call recordings, transcripts, outcomes, actions and handoffs. You keep all rights to Customer Data. You give us permission to host, process, transmit and display it only as needed to provide, secure and support the Service for you, as described in the Data Processing Addendum.
3.2 Personal data
For personal data in Customer Data, you are the controller (or personal information controller) and we act as your processor. The Data Processing Addendum forms part of these Terms and governs that processing.
3.3 AI processing region
Each workspace's owner chooses where our AI providers process the audio and text of its calls: the European Union or the United States. No call starts until a region is chosen. Only the owner can choose it, signed in personally, and by choosing it the owner confirms that the region meets the data protection laws, contracts and commitments that apply to the workspace and the people it calls. We process call audio and text with our AI providers in the region chosen. You are responsible for that choice: we are not responsible for the consequences of a region that does not meet your obligations. Customer Data stored by SAGOT (contacts, transcripts, recordings) stays in the hosting location listed in the Data Processing Addendum whichever region is chosen. A change applies to calls queued after it.
3.4 Retention, export and deletion
- You choose how long call content (recordings and transcripts) is kept in each workspace, from 1 to 90 days. After that period it is deleted from the live Service.
- You can export contact histories and recordings at any time through the website, API, MCP or CLI.
- You can erase everything held about one person (for example, when they ask you to delete their data) and delete a workspace or your account yourself; these deletions take effect in the live Service immediately.
- When you ask us in writing, we delete Customer Data from the live Service within 30 days. Copies in our encrypted backups are overwritten within about 31 days after that.
3.5 Support access
SAGOT staff do not open your call content, contacts or transcripts unless an owner or admin of your workspace approves a support access request. Approved access is read-only, expires after the hours shown in the request, can be ended by you at any time, and every item staff open is listed for you under Settings → Support access. We may still access data without approval where the law requires it or to investigate a serious security incident or abuse, and we will tell you when the law allows.
3.6 Service statistics
We may create statistics about how the Service is used by combining and anonymizing data, such as the time, length, outcome and country of calls and the type of agent used. These statistics (a) never include call content, recordings, transcripts, phone numbers or contact details; (b) do not identify you, your users or any person called; and (c) are published only when each figure is based on at least 1,000 calls from at least five separate customers. We own these statistics and may use and publish them, for example to improve the Service or in public research. This does not give us any other right to Customer Data.
4. Calling responsibly
AI phone calls are regulated, and the rules depend on where you and the people you call are. You are responsible for making sure every call you make or receive with SAGOT is lawful. In particular, you must:
- Have the right to call. Obtain and keep any consent the law requires before you call someone, including the prior express consent needed in the United States for calls that use an artificial or AI-generated voice.
- Respect do-not-call requests and registries. Do not call numbers on applicable national do-not-call or preference registries without a lawful basis, and suppress anyone who asks not to be called again.
- Call at reasonable times and within the calling hours the law sets for the person called. Configure your workspace's calling policy accordingly.
- Be honest about the AI. SAGOT speaks your workspace's disclosure in every call — on outbound calls once the person agrees to continue, on inbound calls right after the greeting — before the conversation. It must say the person is speaking with an AI and that the call is recorded or transcribed; SAGOT does not start calls until it does. Do not instruct an agent to claim to be a human.
- Get the consent to recording the law requires. Some places require everyone on a call to agree to it being recorded. If the person objects to the recording or to the AI, the agent ends the call. You can turn off audio recording for a workspace (transcripts are still kept); you remain responsible for a lawful basis for recording and transcribing.
- Give people a privacy notice that explains how you use their personal data, including your use of SAGOT as a service provider.
SAGOT provides tools that help — calling windows, attempt limits, a disclosure statement, contact suppression and a platform-wide do-not-call list — but these tools do not make your calls lawful on their own.
5. Acceptable use
You must not use the Service to:
- call emergency numbers, or rely on SAGOT for emergency or life-critical communication;
- defraud, deceive, threaten, harass or abuse anyone, or impersonate a person, organization or public authority;
- make unsolicited calls in breach of telemarketing, privacy or consumer protection laws;
- spoof caller ID or transmit misleading information about who is calling;
- collect sensitive information (such as payment card numbers, passwords, health or government identification data) unless the law allows it and your configuration protects it;
- make political, debt collection or other regulated calls without meeting the rules that apply to them;
- infringe anyone's intellectual property or privacy rights;
- interfere with or disrupt the Service, probe it for vulnerabilities without our written permission, or exceed rate limits or access controls;
- resell or provide the Service to third parties as your own product without our agreement;
- direct calls at children, or run campaigns aimed at people under 18. If an agent learns it is speaking with a child, it should end the call politely;
- provide medical advice or clinical services through an agent.
We keep a platform-wide do-not-call list. Numbers on it cannot be called from any workspace.
6. Phone lines and third-party services
- Your own accounts. If you connect a Twilio account or another provider, you are that provider's customer: their terms apply and they bill you directly. You remain responsible for complying with their acceptable use policies.
- SAGOT phone gateway. If you connect your own phone and SIM, airtime is billed by your mobile operator, and you must comply with your operator's terms, including any limits on automated or business calling.
- AI and infrastructure providers. We use third-party providers, listed in the Data Processing Addendum, to run the Service, including AI models that understand speech and generate the agent's voice and replies.
- Connections you configure. When your agent sends data to an HTTPS connection you configured, that data leaves SAGOT under your control and responsibility.
7. AI output
Voice agents generate their answers automatically. They can misunderstand callers, make mistakes or say things you did not intend. Review agent instructions, test agents before publishing them, review call outcomes and transcripts, and do not use agents for decisions that need human judgement or professional advice. You are responsible for how you use what your agents say and record.
8. Fees
During the closed alpha, we do not charge for the Service unless we agree fees with you in writing. Before charging fees, we will tell you the prices at least 30 days in advance, and fees will apply only if you accept them. Costs from third parties you use, such as your telephony provider or mobile operator, are yours.
9. Suspension and termination
- You may stop using the Service and close your account at any time.
- We may suspend a workspace or account immediately, with a reason shown to you, if we reasonably believe it breaches sections 4 or 5, endangers the Service or other customers, or must be suspended by law. While a workspace is suspended you can still read and export your data. We restore access when the issue is resolved.
- We may end the alpha or these Terms for convenience with at least 30 days' notice, and for a material breach with immediate effect if it is not cured within 10 days of notice.
- After termination you have 30 days to export your data, after which we delete it as described in section 3.4.
10. Confidentiality and security
Each party will protect the other's non-public information with reasonable care and use it only for this agreement. We protect Customer Data with the measures described in the Data Processing Addendum, including encryption in transit, access controls, audit logging and encrypted backups.
11. Our intellectual property and feedback
SAGOT and its software, website and documentation belong to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription under these Terms. If you send us feedback or suggestions, we may use them without any obligation to you.
12. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Otherwise, and especially during the closed alpha, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including fitness for a particular purpose, non-infringement and that the Service will be uninterrupted, error-free or that calls will connect or succeed.
13. Liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if advised of the possibility;
- each party's total liability arising out of these Terms in any 12-month period is limited to the greater of the fees you paid us in that period and USD 100.
These limits do not apply to your obligations under sections 4, 5 and 14, to fraud, to gross negligence or wilful misconduct, or to liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify SAGOT against third-party claims, fines and penalties arising from calls made or received through your workspaces, Customer Data, or your breach of sections 4 or 5, except to the extent caused by our breach of these Terms.
15. Changes to these Terms
We may update these Terms. For material changes we will notify workspace owners by email or in the Service at least 30 days before they apply, unless a change is required sooner by law or to address abuse. If you do not agree, you may stop using the Service before the change applies. Each version has a date; we ask every account to accept a new version the next time it signs in.
16. General
- Governing law and disputes: these Terms are governed by the laws of the State of Delaware, USA, and the state and federal courts located in Delaware have exclusive jurisdiction, unless mandatory consumer law gives you other rights.
- Assignment: you may not transfer these Terms without our consent; we may transfer them to a successor of our business with notice.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control, including telephone network and provider outages.
- Entire agreement: these Terms, the Data Processing Addendum and any order or written agreement with you are the whole agreement on this subject. If a provision is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver.
- Notices: we send notices to the email address of the workspace owner; send notices to us at legal@sagots.com.
Frequently asked questions
Who owns the recordings and transcripts?
You do. SAGOT processes them only to provide the Service to you, and keeps call content only for the retention period you choose, from 1 to 90 days.
Can SAGOT staff listen to my calls?
Only if an owner or admin of your workspace approves a time-limited, read-only support request, and you can see everything staff opened. The exceptions are legal requirements and serious security or abuse investigations.
Where is my call audio processed?
In the region your workspace owner chose — the European Union or the United States — by Google Cloud Vertex AI. The owner is responsible for choosing the region that meets your data protection obligations. Recordings, transcripts and contacts are stored by SAGOT in Singapore.
Who is responsible for consent to call?
You are. SAGOT gives you calling windows, attempt limits, an AI disclosure and do-not-call tools, but you must have the right to call each person under the laws that apply.
